Terms of Sale

These Terms of Sale ("Terms") govern your purchase of a Skupa license from Brandon James, an individual doing business as Skupa ("Skupa", "we", "us"), based in North Carolina, USA. Your use of the software is governed separately by the End-User License Agreement (EULA). By completing a purchase you agree to these Terms and to the EULA.

1. Try before you buy

Skupa offers a free 14-day trial with every feature enabled and no account required. We encourage you to evaluate Skupa fully during the trial before purchasing.

2. Products and pricing

We sell perpetual license keys in several editions (Commercial and Government tenants), seat counts (single and multi-seat packs), and optional annual Maintenance Renewal and Priority Support add-ons. Prices are shown on the pricing page in U.S. dollars (USD) and are exclusive of any applicable taxes. We may change prices at any time, but a change never affects a purchase already completed.

3. Ordering and payment

Payments are processed by Stripe. By submitting an order you authorize Stripe to charge your selected payment method for the total shown at checkout. Your order is accepted when payment is confirmed. We reserve the right to decline or cancel an order (with a full refund) in cases of suspected fraud, pricing error, or inability to verify the buyer.

4. Delivery of your license

License delivery is electronic. After your payment is confirmed, a license key is generated and sent to the email address on the order, typically within a few minutes. If it does not arrive, check spam, then use the key-recovery option or contact sales@skupa.io. You are responsible for providing a correct, deliverable email address.

5. What your purchase includes

Each perpetual license authorizes the seat count and edition encoded in the key and includes twelve (12) months of updates and standard support from the purchase date. When that period ends the software keeps working perpetually at your entitled version; access to newer versions requires an active Maintenance Renewal. Full terms are in the EULA, Sections 1 and 1a.

6. Refunds

New license purchases are covered by a 14-day money-back guarantee. Because a full-featured 14-day trial is available before purchase, refunds are governed by our Refund Policy, which forms part of these Terms.

7. Taxes

You are responsible for any sales, use, VAT, GST, or similar taxes associated with your purchase, except for taxes on our net income. Where we are required to collect tax, it will be shown at checkout.

8. Chargebacks

If you believe you were charged in error, please contact us first at sales@skupa.io — we resolve legitimate issues quickly. Initiating a chargeback without contacting us may result in the associated license key being revoked.

9. Warranty and liability

The software is provided "as is". Warranty disclaimers and the limitation of liability in the EULA (Sections 7 and 8) apply to your purchase. Nothing in these Terms limits rights that cannot be limited under applicable consumer law.

10. Governing law

These Terms are governed by the laws of the State of North Carolina, USA, excluding its conflict-of-law rules.
